Service Agreement
Parties
This Service Agreement (“Agreement”) is entered into between:
Atak Elektromekanik (hereinafter referred to as the “SERVICE PROVIDER”),
and the person or entity requesting services (hereinafter referred to as the “CLIENT”).
Both parties agree to the following terms and conditions.
Article 1 – Subject of the Agreement
This Agreement governs the principles and conditions under which the SERVICE PROVIDER shall deliver engineering, electromechanical systems, conveyor, automation, steel construction, assembly, and maintenance services to the CLIENT.
Article 2 – Obligations of the Parties
- Obligations of the SERVICE PROVIDER
- The SERVICE PROVIDER shall perform all services in accordance with the technical specifications, contract terms, and professional standards.
- All materials and workmanship shall comply with relevant quality and safety standards.
- The SERVICE PROVIDER shall keep all client-related information confidential and shall not share it with third parties, except where legally required.
- Obligations of the CLIENT
- The CLIENT shall provide all necessary information, documents, and access required for the proper execution of the services.
- The CLIENT shall pay the agreed service fees in full and on time according to the payment schedule.
- The CLIENT shall ensure that the work environment complies with occupational safety and operational conditions.
Article 3 – Service Fee and Payment Terms
- The service fee shall be determined based on the approved quotation and/or proforma invoice.
- Payments shall be made to the designated bank account or by any mutually agreed method.
- The CLIENT must pay the remaining balance within 7 (seven) days after service completion.
- In case of late payment, legal interest rates may be applied as delay penalties.
Article 4 – Delivery and Duration
- The project completion time shall be determined according to the project scope and start date.
- In cases of force majeure (natural disasters, war, strikes, pandemics, etc.), both parties shall notify each other, and the project timeline may be extended.
Article 5 – Warranty and Support
- The SERVICE PROVIDER offers a technical warranty for delivered systems, excluding user errors.
- Unless otherwise stated, the warranty period is 12 (twelve) months.
- Maintenance, spare parts, and periodic inspection services can be provided under an additional agreement or quotation.
Article 6 – Confidentiality
Both parties agree to maintain the confidentiality of all commercial, technical, and personal information obtained under this Agreement. Such information shall only be used for purposes related to this Agreement.
Article 7 – Intellectual Property Rights
All drawings, designs, software, or documentation developed within the scope of this Agreement remain the intellectual property of the SERVICE PROVIDER.
The CLIENT may not reproduce, distribute, or share such materials with third parties without prior written consent.
Article 8 – Termination of the Agreement
- Either party may terminate this Agreement unilaterally if the other party fails to fulfill its obligations, by providing written notice within 7 (seven) days.
- In case of termination, the SERVICE PROVIDER shall be entitled to payment for completed work and materials used up to the date of termination.
Article 9 – Force Majeure
Neither party shall be held liable for failure to perform obligations due to circumstances beyond their control (such as natural disasters, wars, strikes, pandemics, or legal restrictions). The affected party must notify the other party immediately.
Article 10 – Dispute Resolution
Any disputes arising from this Agreement shall be resolved by the Courts and Enforcement Offices of Kocaeli (İzmit), Turkey.
Article 11 – Effective Date
This Agreement enters into force upon signature by both parties.
The parties declare that they have read, understood, and accepted all provisions of this Agreement.
